would 64 bit Ubuntu be a better idea?

Unquestionably! Ubuntu will have MUCH less O/S overhead, VMware will run A LOT
faster, I/O will be more efficient, and it will make better use of available RAM.

If you can spare a few bucks and upgrade to a quad-core CPU, VMware will be even
happier. (And so will you!!)

Oh, one note about VMware on large RAM systems... it can take FOREVER to shut
down the system. I have a ThinkPad with 8GB RAM, and VMware can use up to 6GB of
it. If I suspend 3 or 4 of the VMs and exit workstation, I/O utilization goes
way up for many many minutes. However, if I shut down the system shortly after
exiting workstation, the system can run at 100% I/O utilization (I have a 2 HDD
hardware striped 1TB RAID volume) for up to 30 minutes before it actually starts
to run the init shutdown sequence. All that time is VMware writing cache to disk!
